Terms of Service

1. The Service

MoldOps is a subscription software platform that helps cultured marble, solid-surface, and stone fabrication shops manage quoting, production scheduling, shop-floor operations, inventory, deliveries, invoicing, and accounting integration. We may add, change, or discontinue features over time.

2. Accounts

• You must provide accurate information and keep it up to date.
• You are responsible for keeping your login credentials confidential and for all activity under your account.
• You are responsible for the team members you invite and the roles you grant them. Each team member must accept these Terms to use the Service, and you are responsible for their compliance.
• Notify us promptly of any unauthorized use of your account.

3. Subscriptions, trials, and billing

• Free trial. New accounts include a 14-day free trial. No charge is made during the trial, and you can cancel before it ends at no cost.
• Fees and renewal. Paid plans are billed in advance on a recurring monthly or annual basis through our payment processor, Stripe, and automatically renew until cancelled.
• Online payments add-on. If you enable MoldOps Payments, your customers' card and bank payments are processed by Stripe into a Stripe account that belongs to your shop and is subject to Stripe's Connected Account Agreement. You are the merchant of record for those payments: Stripe's processing fees are deducted from each payment, and refunds, disputes and payouts are handled in your Stripe dashboard. MoldOps charges a flat monthly fee for the add-on and takes no share of your customers' payments.
• Cancellation. You may cancel at any time from the billing page. Cancellation takes effect at the end of the current billing period; fees already paid are non-refundable except where required by law.
• Price changes. We may change subscription prices, with notice, effective at your next renewal.
• Taxes. Fees are exclusive of taxes, which you are responsible for where applicable.

4. Your data

As between you and MoldOps, you own the business data you enter into the Service ("Your Data"). You grant us a limited license to host, process, and transmit Your Data solely to provide and improve the Service. You are responsible for Your Data and for having the rights and any necessary consents to enter information about your own customers. Our handling of personal information is described in our Privacy Policy.

5. Third-party integrations

The Service can connect to third-party services, including QuickBooks Online (Intuit) and Stripe. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, and their availability or changes are outside our control. You authorize us to exchange data with a connected service to provide the features you enable, and you can disconnect at any time.

6. Acceptable use

You agree not to:

• Use the Service for any unlawful or fraudulent purpose;
• Attempt to access accounts or data that are not yours, or to breach or circumvent security, rate limits, or access controls;
• Use automated means (bots, scrapers, crawlers) to access or extract content from the Service, other than through features we provide for that purpose;
• Upload malicious code or interfere with the integrity or performance of the Service;
• Use the Service to send unlawful or unsolicited messages;
• Use the Service in any way that violates Section 7 (Our intellectual property and confidential information).

7. Our intellectual property and confidential information

Ownership. The Service — including its software, source and object code, data models, user interface, screens, workflows, pricing and scheduling logic, product templates, generated documents and drawings, label and tracking systems, documentation, and the selection, arrangement, and combination of its features (together, the "MoldOps Technology") — is owned by MoldOps and protected by copyright, trade secret, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your own shop's internal business during your subscription, subject to these Terms. No other rights are granted, whether by implication or otherwise.

Confidential information. The non-public aspects of the Service — including how its features work together, its pricing and scheduling methods, roadmap, beta or preview features, and any demonstration, walkthrough, or material we share with you that is not publicly available, whether before or after you created your account — are MoldOps' confidential information and trade secrets ("Confidential Information"). You will keep Confidential Information confidential, use it only to use the Service as intended, and not disclose it to anyone outside your business.

Restrictions. Except to the extent applicable law expressly prohibits this restriction, you agree that you will not, and will not permit, encourage, or assist anyone else to:

• Reverse engineer, decompile, disassemble, scrape, or otherwise attempt to discover the source code, data models, algorithms, or underlying structure of the Service;
• Copy, reproduce, modify, translate, or create derivative works of the Service or any part of it, including its screens, workflows, forms, generated documents, or documentation;
• Use the Service, your access to it, or your knowledge of how it works to design, develop, train, specify, or assist in developing any product or service that replicates or competes with the features or functionality of the Service — including by describing, screenshotting, recording, or feeding the Service, its screens, or its workflows to any software-generation, "no-code," or artificial-intelligence tool for that purpose;
• Access the Service to monitor its availability, performance, or functionality for benchmarking or competitive purposes, or publish any such results;
• Share screenshots, recordings, or demonstrations of the Service with anyone who is not a member of your team, except for the documents the Service produces for your own customers in the ordinary course of your business;
• Rent, lease, lend, sell, sublicense, resell, white-label, or provide the Service to third parties, as a service bureau or otherwise;
• Remove, obscure, or alter any proprietary notice, branding, or label in the Service.

Functionality, not just code. You acknowledge that these restrictions protect the design, functionality, and combination of features of the Service, not only its code, and that building a product that recreates the Service's functionality from your knowledge of it is a breach of these Terms even if no code is copied. Any product, service, or work created in breach of this Section, and all intellectual property rights in it, will belong to MoldOps, and you agree to assign them to MoldOps on request.

Duration. Your obligations under this Section continue during your use of the Service and for as long as the relevant information remains non-public, and in every case for at least five (5) years after your last use of the Service.

8. Feedback

If you send us ideas, suggestions, or feedback about the Service, you grant MoldOps a perpetual, irrevocable, worldwide, royalty-free license to use and build on them without any obligation to you. Providing feedback does not give you any right in the Service or in anything we build from it.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free. MoldOps is a tool to help you run your shop; you remain responsible for your business decisions, pricing, and records.

10. Limitation of liability

To the fullest extent permitted by law, MoldOps will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data. Our total liability arising out of or relating to the Service will not exceed the amount you paid us in the twelve months preceding the event giving rise to the claim.

11. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. On termination, your right to use the Service ends; you may request an export of Your Data within a reasonable period before it is deleted in the ordinary course. Sections 4 (as to our handling of Your Data after termination), 7, 8, 9, 10, 12, and 14 survive termination.

12. Governing law and remedies

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The state and federal courts located in Miami-Dade County, Florida will have exclusive jurisdiction over any disputes, subject to any applicable arbitration or small-claims options.

Equitable relief. You agree that a breach of Section 7 would cause MoldOps harm that money alone could not repair, and that MoldOps may seek an injunction or other equitable relief in any court of competent jurisdiction, in addition to any other remedy, without having to post a bond.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the version and "Last updated" date above. For material changes, we will ask you to review and accept the updated Terms the next time you open the Service, and we keep a record of each version and each acceptance. If you do not agree to updated Terms, you may stop using the Service and cancel your subscription; continued use after accepting them constitutes agreement.

14. Electronic acceptance and records

You accept these Terms electronically by checking the acceptance box and clicking "Create account," "I agree," or a similar button. That action has the same legal effect as a handwritten signature. We keep a record of each acceptance — the version of the Terms accepted, the date and time, the account that accepted, and the network address and browser it came from — and you agree that this record is valid evidence of your agreement. The current Terms are always available at moldops.app/terms.
